Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ECHO ("Company," "we," "our," or "us") governing your access to and use of the ECHO application for macOS, including any associated services, features, content, and functionality (collectively, the "Service").

By downloading, installing, or using ECHO, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

We reserve the right to modify these Terms at any time. We will provide notice of significant changes through the application or by updating the "Last Updated" date above. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

Description of Service

ECHO is a professional supervision tool designed exclusively for licensed psychotherapists, counselors, and mental health professionals. The Service provides:

  • Session Recording: Tools to document and organize your professional reflections on clinical sessions
  • AI-Powered Supervision Reports: Automated analysis and feedback based on evidence-based psychological frameworks
  • Secure Storage: Local encrypted storage for all your clinical documentation
  • iCloud Synchronization: Optional encrypted synchronization across your devices

The Service is intended to supplement, not replace, traditional clinical supervision. AI-generated reports are provided for educational and reflective purposes only and should not be considered as professional supervision or clinical advice.

Eligibility and User Representations

By using ECHO, you represent and warrant that:

  • You are at least 18 years of age
  • You are a licensed or trainee mental health professional (psychotherapist, counselor, psychologist, social worker, or equivalent)
  • You have the legal capacity to enter into these Terms
  • You will use the Service only for lawful, professional purposes
  • You will comply with all applicable laws and professional ethics codes
  • All information you provide to us is accurate and complete

If you are using ECHO on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

License Key and Purchase Terms

License Grant

Upon purchase and activation of a valid License Key, we grant you a limited, non-exclusive, non-transferable, revocable license to use ECHO on a single macOS device for your personal professional use, subject to these Terms.

License Key Terms

  • Single Device: Each License Key authorizes use on one (1) macOS device at a time
  • Lifetime Access: Your License Key provides lifetime access to the application and all future updates
  • Device Transfer: If you need to transfer your license to a new device, contact our support team for assistance
  • No Sharing: License Keys are personal and may not be shared, sold, or transferred to third parties
  • Revocation: We reserve the right to revoke licenses that are used in violation of these Terms

Credit System

AI supervision analyses are powered by a credit system:

  • Each supervision analysis consumes one (1) credit
  • New licenses include an initial credit balance as specified at the time of purchase
  • Additional credits may be purchased through the application or our website
  • Credits never expire and may be used at any time
  • Credits are non-refundable and non-transferable

Payment and Refunds

All payments are processed securely through Lemon Squeezy. By making a purchase, you agree to Lemon Squeezy's terms of service. Prices are listed in USD and may be subject to applicable taxes.

We offer a 14-day money-back guarantee for License Key purchases. If you are not satisfied with ECHO, contact us within 14 days of purchase for a full refund. Credit package purchases are non-refundable after credits have been used.

Acceptable Use Policy

You agree to use ECHO only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Service in violation of any applicable law, regulation, or professional ethics code
  • Use the Service in any way that could damage, disable, or impair the Service
  • Attempt to gain unauthorized access to any part of the Service or related systems
  • Use the Service to transmit malware, viruses, or other harmful code
  • Reverse engineer, decompile, or disassemble any part of the application
  • Copy, modify, or distribute the application or any of its components
  • Share your License Key with others or use the Service on more devices than authorized
  • Use automated systems or software to extract data from the Service
  • Attempt to circumvent any security features or usage limitations
  • Use the Service to store or process information unrelated to clinical supervision

Clinical Use and Professional Responsibility

Important: ECHO is a professional development tool and is NOT intended to replace proper clinical supervision, peer consultation, or professional judgment.

  • AI supervision reports are generated for educational and reflective purposes only
  • Reports should not be considered as clinical advice, diagnosis, or treatment recommendations
  • You remain solely responsible for all clinical decisions and client care
  • The Service does not create a supervisory relationship between you and ECHO
  • You should continue to seek appropriate human supervision as required by your licensing board and professional standards

You acknowledge that AI-generated analyses have limitations and may not capture all relevant clinical nuances. Always exercise your professional judgment and consult with qualified supervisors when needed.

Client Data and Confidentiality

You are solely responsible for ensuring that your use of ECHO complies with all applicable laws and professional standards regarding client confidentiality, including but not limited to:

  • HIPAA (Health Insurance Portability and Accountability Act) in the United States
  • State and local privacy laws and regulations
  • Professional ethics codes (APA, NASW, etc.)
  • Informed consent requirements
  • Record-keeping standards

While ECHO provides robust encryption and privacy protections, you must determine whether our security measures meet your specific regulatory and ethical requirements. You are responsible for:

  • De-identifying client information when appropriate
  • Securing your device with appropriate passwords and authentication
  • Obtaining any necessary informed consent from clients
  • Maintaining appropriate backup procedures
  • Complying with record retention requirements

Intellectual Property Rights

Our Intellectual Property

ECHO, including all software, designs, text, graphics, logos, and other content, is owned by or licensed to us and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written consent.

Your Content

You retain all rights to the content you create using ECHO, including your session notes and reflections. We do not claim any ownership over your content. However, by using the AI supervision feature, you grant us a limited, temporary license to process your content solely for the purpose of generating supervision reports.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • That the Service will be uninterrupted, timely, secure, or error-free
  • That AI-generated reports will be accurate, complete, or suitable for any particular purpose
  • That defects will be corrected
  • That the Service or servers are free of viruses or harmful components

You acknowledge that AI technology has inherent limitations and that AI-generated supervision reports may contain errors or omissions. You should not rely solely on AI-generated content for clinical decisions.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE, OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION:

  • Loss of profits, goodwill, use, data, or other intangible losses
  • Damages arising from your use of or inability to use the Service
  • Damages arising from any errors or omissions in AI-generated content
  • Damages arising from unauthorized access to or alteration of your data

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to defend, indemnify, and hold harmless ECHO and our affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, your violation of any third-party rights, or your professional malpractice or negligence.

Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

  • Your right to use the Service will immediately cease
  • Your locally stored data will remain on your device
  • Unused credits will be forfeited
  • Provisions that by their nature should survive termination will survive

You may discontinue use of the Service at any time. If you wish to delete your data, you may do so through the application settings.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English and held in San Francisco, California, or remotely as agreed by the parties.

General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and ECHO regarding the Service
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect
  • Waiver: Our failure to enforce any right or provision will not be considered a waiver of that right or provision
  • Assignment: You may not assign or transfer these Terms without our prior written consent
  • Force Majeure: We shall not be liable for delays or failures in performance resulting from causes beyond our reasonable control
